These Terms of Service ("Terms") govern access to and use of the Finvisor application at app.finvisor.ai and its related services (the "Platform"), operated by Foresight ASG Inc, doing business as Finvisor ("Finvisor", "we", "us", or "our").
The Platform is a financial-operations application used by our client businesses ("Clients") and the individuals a Client authorizes to access its workspace ("Authorized Users", "you"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.
Relationship to your services agreement. These Terms govern use of the software. Any separate engagement letter, master services agreement, or order between Finvisor and a Client governs the accounting, bookkeeping, CFO, or other professional services themselves. If those documents conflict with these Terms for the services they cover, they control for that subject matter.

The Platform provides cloud-based tools for finance operations — which may include accounting and bookkeeping, bank-feed reconciliation, accounts payable and receivable, compliance and registration tracking, payroll support, reporting, and CFO support — depending on the modules a Client has enabled.
Not professional advice from the software. Outputs generated by the Platform (such as suggested categorizations, reports, and reminders) are tools to support finance work. They are not, by themselves, tax, legal, accounting, or investment advice, and are subject to review by qualified professionals.
Regulatory scope. The Platform is a general business tool and is not designed for use with data subject to specialized regimes such as HIPAA or FISMA. You may not use the Platform in violation of applicable law, including the Gramm-Leach-Bliley Act (GLBA).
"Client Data" means the financial and business records a Client uploads to, connects to, or generates within the Platform. As between Finvisor and the Client, the Client owns its Client Data. We process Client Data to provide the Platform and related services, as described in our Privacy Policy.
Connected accounts. The Platform lets a Client link third-party systems (such as banking data providers, accounting platforms, payroll systems, and document sources). By connecting a system, you represent that you are authorized to grant that access on the Client's behalf and to allow us to retrieve and store the related data and access tokens. You may disconnect an integration at any time; doing so stops future retrieval but does not delete previously ingested data except as described in the Privacy Policy.
Accuracy. You are responsible for the accuracy, quality, and legality of Client Data and for having the necessary rights to provide it to the Platform.

The Platform integrates with third-party services that a Client chooses to connect. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, and your use of them is at your own risk. Availability of an integration may change if a third party modifies or discontinues its service.
The Platform, including its software, source code, databases, design, and content (excluding Client Data), is owned by or licensed to Finvisor and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your Client's internal business purposes.
No rights are granted except as expressly stated. You may not copy, modify, distribute, sell, or create derivative works from the Platform without our prior written permission.
Our Privacy Policy describes how we handle information on the Platform and is incorporated into these Terms. The Platform is hosted in the United States; by using it you consent to processing of information in the United States.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or that data retrieved from connected systems will be complete or accurate. You remain responsible for reviewing outputs before relying on them.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FINVISOR OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OR CORRUPTION OF DATA, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold Finvisor harmless from any claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Platform, your violation of these Terms, or your violation of any law or the rights of a third party.
We maintain routine backups of Platform data, but you are responsible for the Client Data you transmit to the Platform and for retaining your own copies of critical records. To the extent permitted by law, we are not liable for loss or corruption of Client Data.
These Terms apply while you access the Platform. We may suspend or terminate access if you breach these Terms or to protect the Platform or its users. A Client's overall access is governed by its services agreement with us.
On termination of a Client engagement, the Client may request export or deletion of its Client Data, subject to our legal and regulatory retention obligations, as described in the Privacy Policy.
We may modify, suspend, or discontinue features of the Platform, and we may update these Terms as the Platform and applicable law evolve. The "Last updated" date reflects the latest version. Material changes will be communicated within the Platform or by direct notice, and continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. The state and federal courts located in San Francisco, California will have exclusive jurisdiction over any dispute not otherwise subject to a binding agreement between Finvisor and a Client, and you consent to their jurisdiction and venue.
